Important Terms for Buying Products from PH Lab Products

Your Acceptance of Terms When you place an order with PH Lab Products in any way, you agree to these terms and conditions. These terms are more important than any terms you might have, even if you send them to us. If there’s a conflict between our terms and yours, our terms win.

Orders You must give us written orders. We only accept your order when we ship the products or send you an acknowledgment.

Price and Payment Prices are based on our latest price list, which we can change at any time. Payment terms are on the invoice. If you pay late, you owe us interest at 1.5% per month or the highest legal rate. You must pay all taxes related to your purchase. If we have to pay these taxes, you must reimburse us.

Delivery and Title All products are delivered from the USA. Delivery dates are approximate. You take ownership and risk of the products when they leave our facility.

Inspection Check your products and shipping documents as soon as they arrive. If there’s a problem, you must tell us in writing within 24 hours. If the product is non-conforming and it’s not your fault, we will either replace it or refund your money.

Changes We can change the ingredients, formula, or manufacturing process of our products anytime without telling you. If we stop making a product, we don’t have to change or replace products you already ordered.

Warranties We promise that before the “best by” date, our products will meet the specifications and be suitable for their intended purpose. We do not offer any other warranties, including implied ones.

Limit of Liability We are not liable for any special, incidental, or consequential damages, including loss of profits. Our total liability to you will not exceed the price you paid for the product.

Recall If a product needs to be recalled, you and we will stop selling and distributing it immediately. If it’s your fault, you will pay for the recall. Notify us immediately if there are any complaints or defects.

Reseller Provisions If you’re a reseller, you must follow our reseller policy, not sell to sub-distributors, not sell outside the US, and not sell on the internet without our approval. You must follow all laws.

Intellectual Property All trademarks and logos remain our property. If you resell our products, you can use our trademarks only for promotion, marketing, and selling the products.

Force Majeure We are not liable for delays or non-performance due to causes beyond our control, like natural disasters, war, or government actions.

Indemnification You agree to defend and indemnify us from all claims and expenses arising from your breach of these terms, your negligence, or failure to follow laws.

Standards of Care You must handle products carefully, keep them upright, and store them in cool, dry places away from sunlight.

Miscellaneous We are not responsible for delays or non-performance beyond our control, except for payment. There is no partnership or agency relationship between us. If any part of these terms is illegal or unenforceable, the rest still applies. Our terms can’t be waived unless we agree in writing.
